These Terms of Service ("Terms") govern your enterprise's access to and use of the Online PDF Editor, API integrations, and related services ("Services") provided by C-Tech Business Solutions ("C-Tech"). By registering an account or executing an enterprise agreement, you agree to be bound by these Terms.
1. Scope of License
Subject to these Terms and timely payment of applicable subscription fees, C-Tech grants you a non-exclusive, non-transferable, revocable license to access and utilize the Online PDF Editor platform for your internal business purposes. You are strictly prohibited from reselling, white-labeling, or sublicensing the core editing engine to third parties without an explicit Partnership Agreement.
2. Acceptable Use Policy (AUP)
Enterprise users represent that they will not use the Services to:
- Process, forge, or alter documents for illegal, fraudulent, or malicious purposes.
- Attempt to reverse-engineer, decompile, or breach the API endpoints of the platform.
- Exceed the API call limits established in your specific Service Level Agreement (SLA).
Any violation of the AUP may result in immediate suspension of the account pending a security review.
3. Intellectual Property Rights
C-Tech Business Solutions retains all right, title, and interest in and to the Services, including all source code, machine learning models used for OCR, and UX designs. Your enterprise retains all rights, title, and interest in the documents, data, and information you submit to the Services (Customer Data).
4. Billing and Auto-Renewal
Enterprise subscriptions are billed either monthly or annually, as selected during the procurement phase. All invoices are payable within Net-30 days unless otherwise stipulated. By providing a payment method, you authorize C-Tech Business Solutions to charge the applicable subscription fees automatically upon each renewal period unless canceled beforehand.
5. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL C-TECH BUSINESS SOLUTIONS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES INCURRED DIRECTLY OR INDIRECTLY, INCLUDING DATA LOSS DURING TRANSIT BEYOND OUR NETWORKS.
6. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the State of Washington, without regard to its conflict of law principles. Any corporate disputes arising from this agreement will be subject to exclusive arbitration in Seattle, Washington.
